Terms for using Benta Connect services.
These terms outline the general expectations for working with Benta Connect, including project scope, communication, delivery, and responsible use of our services.
Project-specific terms, timelines, deliverables, and payment details should be confirmed in a written agreement before work begins.
1. Overview and acceptance
These Terms of Service explain the rules for using the Benta Connect website and engaging with our digital services. By visiting this website, submitting a contact form, requesting a proposal, or working with us on a project, you agree to follow these terms.
Benta Connect provides AI development, custom software, web and mobile applications, cloud infrastructure, data automation, product strategy, and related consulting services. The exact services, deliverables, timeline, pricing, and responsibilities for a project should be confirmed in a written project agreement.
2. Our services
Our services may include discovery workshops, technical planning, UI and UX design, software development, AI workflow implementation, API integrations, cloud setup, data pipelines, automation, testing, maintenance, and advisory support.
We may recommend specific technologies, platforms, vendors, or infrastructure providers based on the needs of the project. Unless a written agreement says otherwise, third-party tools, hosting, licenses, subscriptions, usage fees, and external services are billed separately from Benta Connect service fees.

3. Project scope and change requests
Every serious project needs a clear scope. Scope may include features, milestones, deliverables, review cycles, technical assumptions, integrations, environments, launch support, and acceptance criteria. Work outside the agreed scope may require a separate estimate or written change request.
Changes are normal in product work, but they affect time, cost, and priority. If you request new features, major design changes, additional integrations, extra review rounds, new content, or a different launch path, we may update the project plan before continuing.
4. Client responsibilities
Successful delivery depends on timely collaboration. You are responsible for providing accurate project information, feedback, approvals, brand assets, technical access, content, business rules, data samples, and any legal or compliance requirements that apply to your business.
If required materials, approvals, or access are delayed, the project timeline may shift. We are not responsible for delays caused by missing information, third-party vendor issues, unavailable stakeholders, or decisions outside our control.

5. Payments, deposits, and invoices
Project fees, retainers, deposits, milestone payments, and payment schedules should be described in a proposal or written agreement. Unless otherwise stated, invoices are due according to the payment terms shown on the invoice.
Late payments may pause active work, delay delivery, or result in additional administrative costs where permitted. Fees paid for completed work, reserved capacity, discovery, strategy, consulting, design, or development time are generally not refundable unless a written agreement says otherwise.
6. Intellectual property and ownership
Unless a written agreement says otherwise, you own the final custom deliverables we create specifically for your project after all required payments are received. Benta Connect retains ownership of our pre-existing tools, reusable code, frameworks, templates, methods, know-how, internal processes, and general technical knowledge.
Some projects include open-source software, third-party libraries, SaaS tools, APIs, AI models, or cloud services. Those components remain governed by their own licenses and terms. We do not transfer ownership of third-party technology that we do not own.
7. Confidentiality
During a project, both sides may share private business, technical, financial, product, customer, or operational information. Each party should use reasonable care to protect confidential information and use it only for the purpose of evaluating, planning, or delivering the project.
Confidential information does not include information that is public, already known without restriction, independently developed, or lawfully received from another source. If stronger confidentiality obligations are needed, they should be included in a separate agreement or NDA.
8. Acceptable use
You may not use our website, services, code, deliverables, or communication channels for unlawful, abusive, harmful, deceptive, infringing, or security-compromising activity. You may not attempt to disrupt our systems, probe for vulnerabilities without permission, upload malicious files, or misuse contact forms.
For AI and automation projects, you are responsible for ensuring that your use case, data, prompts, outputs, and deployment comply with applicable laws, industry rules, platform terms, and internal governance policies.
9. Testing, launch, and acceptance
Before launch, we may ask you to review staging environments, test workflows, confirm content, verify integrations, and approve key user journeys. A deliverable may be considered accepted when you approve it, use it in production, or do not report material issues within the agreed review period.
Software can require updates after real-world use. Bugs, refinements, browser changes, platform updates, API changes, new business rules, or scaling needs may require additional work after launch unless ongoing support is included in your agreement.
10. Warranties and disclaimers
We aim to provide professional, reliable, and thoughtful services, but we cannot guarantee that every deliverable will be uninterrupted, error-free, compatible with every future third-party change, or capable of producing a specific business result.
Our website content is provided for general information. It should not be treated as legal, financial, security, medical, or regulatory advice. You are responsible for obtaining professional advice for requirements specific to your business, industry, or jurisdiction.
11. Limitation of liability
To the fullest extent permitted by law, Benta Connect is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or loss of opportunity.
Where liability cannot be excluded, our total liability related to a project is limited to the amount paid to Benta Connect for the specific services giving rise to the claim, unless a signed agreement states a different limit.
12. Termination and suspension
Either party may end a project according to the termination terms in the applicable written agreement. If there is no written termination clause, either party may request termination in writing. You remain responsible for work completed, committed costs, third-party fees, and approved milestones up to the termination date.
We may suspend work if invoices are overdue, required access is not provided, the project becomes unsafe or unlawful, or collaboration breaks down in a way that prevents responsible delivery.
13. Updates and contact
We may update these terms as our services, website, or business processes evolve. The updated version will be posted on this page with a new last updated date. Continued use of the website or services after updates means you accept the revised terms.
